Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the NudgeLink platform, website, and related services (the “Services”) provided by the NudgeLink team (“NudgeLink”, “we”, “us”). By using the Services, you agree to be bound by these Terms.

1. Account

You must be at least 18 years old and represent a legitimate business to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

2. Acceptable use

You agree not to use the Services to:

• Send unsolicited bulk commercial messages (spam);
• Harass, defame, or threaten any individual;
• Impersonate another person or entity, or misrepresent your affiliation with a person or entity;
• Violate any applicable law or regulation;
• Attempt to reverse-engineer, decompile, or bypass security measures.

3. LinkedIn accounts and third-party platforms

You acknowledge that NudgeLink interacts with LinkedIn and other third-party platforms. You are responsible for complying with the terms of service of those platforms. We recommend using secondary LinkedIn accounts for automated outreach.

NudgeLink takes reasonable measures to minimize detection risk (residential proxies, human-like timing, daily limits), but we do not guarantee that your LinkedIn account will not be restricted or suspended.

4. Subscription and payment

Subscriptions are billed monthly or annually in advance. Success fees are billed monthly in arrears based on qualified replies delivered. All fees are non-refundable except as required by law.

You may cancel at any time; cancellation takes effect at the end of the current billing period. We may change pricing with 30 days' notice.

5. Intellectual property

The Services and all related content (excluding User Content) are owned by NudgeLink and protected by copyright, trademark, and other laws. You retain ownership of any content you submit to the Services (“User Content”), but grant us a worldwide, non-exclusive license to use it to operate and improve the Services.

6. AI-generated content

Messages generated by our AI models are provided on an as-is basis. You are responsible for reviewing AI-generated content before sending it. NudgeLink is not liable for the accuracy, legality, or tone of generated messages.

7. Warranties and disclaimers

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUDGELINK'S AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

9. Termination

We may suspend or terminate your account for material breach of these Terms, or for any activity that we reasonably believe poses a risk to the Services or to other users.

10. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute shall be resolved in the state or federal courts located in Delaware.

11. Changes

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance.
